1. Acceptance of These Terms

These Terms of Service form an agreement between you and CHEN ZHAOVEX INC, a professional practice located at 3008 E Canyon Crest Dr, Spanish Fork - 84660-8935, United States (US). By visiting this website, sending an enquiry or engaging the practice to perform work, you agree to be bound by these terms together with any written proposal, quotation or statement of work issued for a specific project.

If you act on behalf of a company, a partnership, a public body or another legal entity, you confirm that you have authority to bind that entity. If you do not agree with these terms, please do not use the website or submit project documents. Where a signed agreement with the practice contains terms that differ from this page, the signed agreement controls for that project.

The website is operated and maintained by the developer Zhaovex on behalf of CHEN ZHAOVEX INC. These terms apply to the site itself and to the professional services described on it, including soil report review, core sample coordination, construction takeoffs, estimate preparation, site walk services and bid document checks.

2. Description of Services

CHEN ZHAOVEX INC provides technical support to clients who build, design and own property. The work is focused on reading ground information, measuring construction quantities and preparing estimates that can be defended in a bid review or a project meeting. The services listed on the website are the working lines of the practice and may be combined or supplied individually.

  • Soil report review, covering the interpretation of geotechnical documents and their practical effect on scope.
  • Core sample coordination, covering scheduling, labelling, tracking and laboratory liaison.
  • Construction takeoffs, covering measured quantities from a controlling drawing set.
  • Estimate preparation, covering priced quantities, stated assumptions and exclusions.
  • Site walk services, covering access, slope, utility and condition observations recorded against a plot number.
  • Bid document checks, covering reconciliation of an estimate with the bid form and instructions to bidders.

The practice does not act as architect of record, engineer of record, general contractor or construction manager unless a separate written engagement expressly says otherwise. We do not seal drawings, certify structural capacity or supervise construction. Where such services are required, they must be provided by appropriately licensed professionals, and we will say so when a request falls outside the scope of the practice.

3. Eligibility and Authority

The services are offered to persons who are at least eighteen years of age and who are acting for a lawful purpose in connection with property, construction or design. By engaging the practice, you confirm that you have the legal capacity to enter into an agreement and that you are not barred from doing business in the jurisdiction where the project is located.

Where you provide documents belonging to a third party, you confirm that you have permission to share them for the purpose of obtaining the requested service. This includes drawings prepared by another consultant, soil reports issued to a previous owner and addenda distributed to a bid list. We may ask for written confirmation of that permission where the documents appear sensitive or where ownership is unclear.

4. Engagement and Written Scope

An engagement begins when the practice issues a written proposal or confirmation and the client accepts it in writing. A telephone conversation, a message through the contact form or an informal exchange of documents is an enquiry, not a binding engagement. The written scope identifies the site, the documents to be reviewed, the deliverables, the fee and the expected timing.

Material changes to the site, the design or the bidding schedule after acceptance are handled under the change procedure described later in these terms. Work that falls outside the written scope is not included merely because it seems related. If a client expects an item to be covered, the sensible course is to have it written into the scope before work begins.

Quotations remain open for the period stated in the proposal. If no period is stated, a quotation may be revised after thirty days to reflect changes in local pricing or availability of drilling and laboratory services.

5. Client Responsibilities

The quality of a takeoff or an estimate depends heavily on the documents supplied. The client is responsible for providing a complete and current drawing set, the controlling specification, any soil or geotechnical report, all addenda issued during the bid period and any survey or site information in the client possession. Where a document is unavailable, the client should say so rather than substitute an older version silently.

  • Provide documents in a legible format and identify the sheet index that should be treated as controlling.
  • Notify the practice promptly of revisions, addenda and changes in the bid date.
  • Answer technical questions within a reasonable time so that assumptions do not have to be invented.
  • Arrange site access, gate codes and contact details for a walkover where one is included in the scope.
  • Review the delivered documents and raise questions before relying on them for a commitment.
  • Ensure that any decision to bid, build or proceed is made by the client, not assumed from the delivery of an estimate.

We may rely on the documents supplied and are not obliged to verify the accuracy of a survey, a structural design or a report prepared by another professional. Where an inconsistency is noticed, we will report it, but the responsibility for correcting the underlying document remains with its author.

6. Site Access and Safety

A walkover requires safe and lawful access. The client is responsible for obtaining permission from the owner or occupier, for arranging any required escort and for informing the practice of known hazards such as unstable ground, open excavations, confined spaces, live utilities, animals or restricted areas. We will not enter an area that appears unsafe or that is fenced against entry without authorisation.

The practice does not perform confined space entry, trench entry, demolition or any activity that requires specialist certification. Observations are made from accessible positions, and where a feature cannot be safely inspected, the report will state that clearly and explain what could not be verified. Site conditions can change between a visit and the start of construction, and the client remains responsible for verifying conditions at the time of work.

Photographs taken on site are for technical documentation. The client should inform the practice if a property is subject to special confidentiality requirements, such as a security sensitive facility, so that photographs and notes can be restricted accordingly.

7. Deliverables and Their Limits

Deliverables are issued in the format described in the written scope. They may include a review memo, a quantity sheet, an assumption list, a priced estimate, a site walk note or a bid check noting. Each document is prepared for the specific site, document set and date identified on its face, and it should not be reused for another project without written confirmation that it remains applicable.

Deliverables are professional working documents rather than certified instruments. They do not replace the services of an engineer, architect, surveyor, attorney or accountant. Where a document is required to carry a seal or a certification, the client must obtain it from a professional licensed to provide it. We will identify such a requirement when it becomes apparent during the work.

Electronic files may be provided in common formats. We take reasonable care to ensure that files open correctly, but we do not warrant that a file will render identically in every software version or on every device. The client should confirm that the delivered file is complete before relying on it.

8. Estimates Are Not Guarantees

An estimate is a professional opinion about probable cost, prepared from measured quantities, local pricing at a stated date and a written set of assumptions. It is not a fixed price, a guarantee of final cost or an offer to perform construction work. Actual costs may differ because of market conditions, labour availability, weather, site conditions, design changes, regulatory requirements or decisions taken by the client or the builder.

Where an estimate includes contingency, that contingency is identified and is not a hidden markup. Where an item is excluded, the exclusion is stated. The client should read the assumption list and the exclusions before using the estimate in a commitment, and should ask for clarification where a line is not understood. We are not responsible for a decision made in reliance on an estimate that contradicts its stated assumptions.

Unit rates are based on information available at the time of preparation. If a project is delayed significantly, the client should request a refresh rather than assume that earlier pricing still applies.

9. Third Party Reports and Samples

Soil reports, laboratory results and survey data are normally prepared by other organisations. We review them as they are supplied and describe their implications, but we do not warrant the accuracy, completeness or fitness of a third party document. Where a report appears internally inconsistent or materially incomplete, we will say so and recommend further investigation.

Core samples retained at the yard remain the property of the client unless the written scope says otherwise. We keep them for the period stated in the scope or, where none is stated, for a reasonable period consistent with the life of the project file. Samples may be disposed of after that period following notice to the client contact on record. Laboratory testing arranged through the practice is performed under the laboratory own terms, and results are reported as received with the sample reference attached.

10. Fees, Invoicing and Payment

Fees are set out in the written proposal and may be expressed as a fixed amount, a time based rate or a combination of both. Disbursements such as laboratory fees, drilling charges and courier costs are identified separately where they are expected. Unless the proposal states otherwise, invoices are issued on delivery of the deliverables and are payable within the period shown on the invoice.

Where a project runs over an extended period, the practice may invoice in stages. Late payment may result in suspension of further work after written notice. The client is responsible for any tax required by law on the services supplied. Amounts disputed in good faith should be raised promptly and in writing so that the disputed item can be separated from undisputed amounts.

Travel time and mileage for site visits are charged as stated in the proposal. Where a visit has to be repeated because access was not arranged, the repeat visit may be charged separately.

11. Changes and Additional Work

A change is any instruction that alters the site, the document set, the deliverable or the schedule described in the written scope. Changes may arise from a revised drawing, a late addendum, a new bid date, an additional site visit or a request for extra analysis. When a change is identified, we will describe its effect on the fee and the timing before carrying it out.

Where the client directs the practice to proceed with additional work, the additional fee is payable on the same terms as the original engagement. If a change is large enough to make the original schedule unrealistic, we will propose a revised schedule rather than compromise the quality of the review or the takeoff. No variation is accepted by implication from continued discussion; it should be confirmed in writing.

12. Intellectual Property

The text, layout, code and visual design of this website belong to CHEN ZHAOVEX INC and may not be copied, republished or adapted for commercial use without written permission. The names, marks and logotypes used on the site are protected in the same way. You may print pages for personal reference or link to the site in a way that does not misrepresent the source of the content.

Deliverables prepared for a client are licensed to that client for use in connection with the project identified in the scope. The underlying methods, templates, checklists and working papers used to produce them remain the property of the practice. A deliverable may not be resold or presented to a third party as that third party own work. Where a client needs to share a deliverable with a lender, a plan reviewer or a bid committee, the sharing is permitted provided the document is not altered.

Documents supplied by the client remain the client property. The practice does not claim ownership of drawing sets, reports or specifications provided for a project.

13. Confidentiality

Project information is treated as confidential. We do not discuss a client project with another client and we do not use project material for publicity without written permission. Internal access is limited to the people who need the information to complete the work. Where a subcontractor or laboratory is involved, only the information needed for that task is shared.

The obligation of confidentiality does not cover information that is already public, that the client authorises for release, that must be disclosed under a legal obligation or that is independently developed without reference to the client material. If a legal request for client information is received, we will, where lawful, notify the client so that an appropriate response can be considered.

Confidentiality survives the end of an engagement for as long as the information remains confidential.

14. Disclaimer of Warranties

The website is provided on an as available basis. We aim to keep it accurate and available, but we do not warrant that every page will be free of errors, that access will be uninterrupted or that the site will be compatible with every device or browser. Information on the site is general in nature and does not constitute professional advice for a specific project unless it is delivered under a written engagement.

Professional services are performed with the reasonable skill and care expected of a practice of this kind. Except for that standard, and to the extent permitted by law, all other warranties, express or implied, are excluded, including any warranty of merchantability, fitness for a particular purpose or non infringement. Nothing in these terms excludes a warranty that cannot lawfully be excluded.

15. Limitation of Liability

To the extent permitted by law, CHEN ZHAOVEX INC is not liable for indirect, incidental, special, consequential or punitive loss arising from use of the website or from reliance on a deliverable outside the assumptions stated on its face. This includes lost profit, lost opportunity, delay costs and costs incurred on a project where the relevant conditions had changed after the date of the work.

Where liability is established for a professional engagement, the total liability of the practice is limited to the fee paid for the specific deliverable that gave rise to the claim, unless a different limit is stated in the written proposal or required by applicable law. This limitation does not apply to fraud, wilful misconduct or any liability that cannot lawfully be limited.

The client acknowledges that an estimate is an opinion about probable cost and that decisions about bidding and construction remain with the client. The practice is not responsible for the consequences of a decision made contrary to the written assumptions or exclusions in a deliverable.

16. Indemnification

You agree to indemnify and hold harmless CHEN ZHAOVEX INC and the people who work with it against claims, losses and reasonable costs arising from documents you supplied without authority, from a site condition you failed to disclose, from a use of a deliverable outside the permitted scope, or from your breach of these terms. This obligation does not apply to the extent that the claim results from the negligence or misconduct of the practice.

Where a third party claim involves both parties, each party will cooperate reasonably in the defence and will not settle a claim in a way that admits fault on the part of the other without consent.

17. Suspension and Termination

Either party may end an engagement with written notice. If the client ends the engagement, fees are payable for work completed and for committed costs such as laboratory testing already ordered. If the practice ends the engagement for a reason other than client breach, work completed will be delivered and unused fees for work not performed will be returned.

The practice may suspend work where an invoice remains unpaid after notice, where access cannot be arranged, where a safety concern makes the work unsafe, or where the requested work would require a professional seal the practice does not hold. Suspension is not termination, and work may resume once the issue is resolved.

Provisions on confidentiality, intellectual property, limitation of liability and governing law survive the end of an engagement.

18. Governing Law and Disputes

These terms are governed by the laws of the State of Utah in the United States, without regard to conflict of law rules. Before starting formal proceedings, the parties will attempt in good faith to resolve a dispute through written discussion. A party raising a concern should set out the facts, the remedy sought and the relevant documents, and allow a reasonable period for a response.

If discussion does not resolve the matter, the parties agree to the jurisdiction of the courts located in Utah County, Utah, unless a different forum is required by law. Nothing in this section prevents a party from seeking urgent relief where delay would cause harm.

19. General Provisions

These terms, together with any written proposal or statement of work, form the entire agreement on their subject. If a provision is found unenforceable, the remaining provisions continue in effect and the unenforceable part is limited to the minimum extent necessary. A failure to enforce a provision is not a waiver of the right to enforce it later.

The practice may update these terms to reflect changes in its services or in the law. The effective date at the top of this page shows the current version. Continued use of the website after an update constitutes acceptance of the revised terms for future interactions, while an engagement already under way remains governed by the terms in force when it began unless both parties agree otherwise.

Notices to the practice should be sent to estimates@zhaovex.mom or to the postal address below. Notices to the client are sent to the contact details provided in the engagement.
